Job Description

Position Summary

Ethic Tech, LLC is seeking an experienced Contracts Manager to oversee the administration, compliance, and execution of federal government contracts and subcontracts throughout the contract lifecycle. The Contracts Manager serves as the primary point of contact for contractual matters and work closely with Business Development, Capture, Proposal, Program Management, Finance, Human Resources, and Executive Leadership to ensure compliance with contractual obligations, federal regulations, and company policies.

 

The ideal candidate will possess extensive experience managing federal government contracts, including prime contracts, subcontracts, teaming agreements, nondisclosure agreements, and contract modifications. This position requires a strong understanding of the Federal Acquisition Regulation (FAR), Defense Federal Acquisition Regulation Supplement (DFARS), and other government contracting requirements.

 

Essential Duties and Responsibilities

Contracts Administration

  • Manage the full lifecycle of federal government contracts, task orders, purchase orders, and subcontracts from proposal through closeout.
  • Serve as the primary contractual point of contact with customers, subcontractors, and internal stakeholders.
  • Prepare, assemble, and maintain contract documents, modifications, agreements, subcontracts, and related correspondence for review, approval, and execution by executive leadership.
  • Ensure all contract documentation is complete, accurate, properly routed, and supported by required approvals, compliance reviews, and organizational records prior to execution.
  • Coordinate with program management, finance, human resources, and executive leadership to facilitate timely contract administration and document management throughout the contract lifecycle.

 

Contract Preparation and Review

  • Review solicitations, Requests for Proposals (RFPs), Requests for Quotes (RFQs), and Requests for Information (RFIs) to identify contractual risks and compliance requirements.
  • Lead and organize communication relating to prime contracts, subcontracts, teaming agreements, consultant agreements, NDAs, and other contractual instruments.
  • Review contract terms and conditions to mitigate business and legal risks.
  • Prepare contractual documents for review and execution by executive leadership
  • Coordinate with CCO for legal review when necessary and ensure appropriate approvals are obtained.

 

Compliance and Risk Management

  • Ensure compliance with applicable federal regulations, including FAR, DFARS, agency supplements, and customer-specific requirements.
  • Develop and prepare recurring and ad hoc reports related to contract performance, regulatory compliance, subcontract management, small business program requirements, organizational risk, and government contracting activities for review and approval by the Chief Compliance Officer.
  • Identify, assess, and mitigate contractual risks throughout the contract lifecycle.
  • Support organizational compliance initiatives, audits, and reviews.
  • Monitor contract performance requirements and notify management of potential compliance concerns.
  • Advise management regarding contractual rights, obligations, and risk exposure.

 

Proposal and Business Development Support

  • Support proposal teams by reviewing solicitation requirements and identifying contractual compliance requirements.
  • Participate in proposal reviews and color team reviews as needed.
  • Review and negotiate teaming agreements and subcontractor agreements during capture and proposal phases.
  • Provide contractual guidance during opportunity pursuit and contract transition activities.

 

Subcontract Administration

  • Support subcontract formation and administration activities.
  • Review subcontractor proposals and contractual documents for compliance and risk considerations.
  • Assist in subcontract negotiations and modification processing.
  • Monitor subcontract performance and compliance with contractual requirements.

 

Internal Collaboration

  • Partner with Program Managers, Finance, Human Resources, Security, and Operations to ensure contractual requirements are properly implemented.
  • Provide guidance and training to internal staff regarding contractual obligations and compliance requirements.
  • Develop and maintain contract administration procedures and best practices.

 

Reporting and Documentation

  • Prepare and maintain contract status reports for management.
  • Track and report key contractual milestones, obligations, and risks.
  • Support contract audits, customer inquiries, and compliance reviews.
  • Maintain accurate contract databases and document repositories.

 

Required Qualifications

  • Education: High school diploma or GED equivalent required. Bachelor's degree preferred.
  • Minimum of ten (10) years of progressive experience administering and managing federal government contracts and subcontracts.
  • Minimum of five (5) years of experience administering prime contracts in a federal government contracting environment.
  • Demonstrated experience supporting the full contract lifecycle, including pre-award, award, post-award administration, modifications, and closeout.
  • Required experience supporting Department of Defense (DoD) and civilian federal agency contracts.
  • Required experience supporting business development, capture management, proposal development, and contract transition activities.
  • Demonstrated experience negotiating and administering teaming agreements, nondisclosure agreements, subcontract agreements, consulting agreements, and contract modifications.
  • Experience administering Firm-Fixed-Price (FFP), Cost-Reimbursement, Time-and-Materials (T&M), Labor-Hour (LH), and Indefinite Delivery/Indefinite Quantity (IDIQ) contracts.
  • Experience managing contractual compliance with FAR, DFARS, agency supplements, and customer-specific requirements.

 

Knowledge, Skills, and Abilities

  • Extensive knowledge of FAR, DFARS, and federal procurement regulations.
  • Strong understanding of contract lifecycle management principles.
  • Ability to analyze contractual terms and identify business and compliance risks.
  • Excellent negotiation, communication, and interpersonal skills.
  • Strong analytical, organizational, and problem-solving abilities.
  • Ability to manage multiple priorities in a fast-paced government contracting environment.
  • Proficiency with Microsoft Office Suite and contract management systems.
  • Experience with Unanet, Deltek, GovWin, or similar GovCon systems preferred.

 

Preferred Qualifications

  • Experience supporting small business government contracting programs, including 8(a), Tribal, HUBZone, Service-Disabled Veteran-Owned Small Business (SDVOSB), and Woman-Owned Small Business (WOSB) environments.
  • Experience supporting organizations participating in mentor-protégé programs, joint ventures, and SBA socioeconomic contracting initiatives.
  • Certified Professional Contracts Manager (CPCM), Certified Federal Contracts Manager (CFCM), or similar professional certification.
  • Active Secret Clearance.

 

Working Conditions

  • Primarily performed in an office environment.
  • May require occasional travel for customer meetings, negotiations, training, or contract transition activities.
  • Ability to work extended hours during proposal submissions, contract negotiations, or critical program events.

 

Physical Requirements

  • Prolonged periods of sitting and working at a computer.
  • Ability to communicate effectively in person, virtually, and by telephone.
